8.1.

General Meeting shall decide on liquidation of Association in form of voluntary winding-up or merger with another association. Association ceases to exist by deleting from registry of associations kept by appropriate district council. If assets of Association are not transferred to its legal successor, liquidation of assets shall be carried out.

8.2.

Along with resolution of General Meeting on liquidation of Association, General Meeting shall appoint liquidator and decide on his remuneration. Association ceases to exist after such liquidation as of the day of approval of liquidation's results by regular members (see 8.4).

8.3.

Within liquidation, liquidator takes over rights and obligations of statutory body of Association and acts on behalf of Association only tasks aimed to its liquidation. Liquidator shall make liquidation balance as of day of resolution of General Meeting on liquidation of Association and upon such resolution; liquidator shall settle all obligations and shall raise enforceable claims of Association. As of day of end of liquidation, liquidator shall make financial statement and report on liquidation with proposal to distribute liquidation balance (assets less liquidator's remuneration) among members of Association and presents such proposal to regular members of Association who have been members in time of resolution of General Meeting on liquidation of Association.

After end of liquidation and approval of its results by regular members, Board of Directors shall present proposal to delete Association from registry of associations kept by appropriate district council.

8.5.

These Articles of Association were adopted by General Meeting on March 25, 2004.
|
8.6.
|
Any changes in Articles must be announced to registering body in writing within 15 days after adoption of such change.

8.7.
|
Relations that are not provided for by these Articles of Association shall follow related legislation, especially provisions of Civil Code, as amended.
|
